Terms of service

1. Acceptance

By signing up for, accessing, or using Chalkline, you enter into a binding agreement with FlowBridge Systems (Pty) Ltd (“FlowBridge”, “we”, “Chalkline”). If you do not agree to these terms, do not use the service.

2. The service

Chalkline is a multi-tenant software-as-a-service platform for private tutors. We provide the platform; you provide the content, run your tutoring business, and are responsible for your students, invoices, tax filings, and lawful conduct inside your workspace.

3. Account and security

• One owner account per workspace. You are responsible for the security of your credentials and for any activity that takes place via your account.
• You must notify us immediately at legal@mychalkline.com if you suspect unauthorised access to your workspace.
• You must be at least 18 years old, or the age of majority in your jurisdiction, to operate a Chalkline workspace.

4. Subscriptions, fees, and renewals

• Plans are Core, Studio, and All-In. Prices are denominated in US dollars. Local currency (e.g. ZAR) shown in the product is for display only.
• Subscriptions auto-renew on the monthly or annual cadence you choose, until you cancel. Add-ons follow the parent subscription's cadence.
• Current pricing is on the pricing page. Refund eligibility is governed by the Refund & cancellation policy, incorporated by reference into these terms.

5. Your content and your intellectual property

You retain ownership of all content you put in your workspace — lesson notes, files, branding, invoices, lesson materials, and so on. You grant FlowBridge a limited, non-exclusive licence to store, process, and display that content only as necessary to operate the service for you. Nothing in these terms transfers ownership of your content to FlowBridge.

6. Chalkline intellectual property

The Chalkline platform, including its branding, code, design, and documentation, is owned by FlowBridge Systems (Pty) Ltd. No part of the service may be copied, reverse-engineered, resold, sub-licensed, or used to build a competing product without our written permission.

7. Acceptable use

You agree not to use Chalkline:

• For unlawful purposes or in violation of applicable laws.
• To harass, threaten, or harm students, staff, or any other person.
• To evade tax obligations.
• To send unsolicited bulk messages or spam.
• To circumvent the terms of any connected payment processor.
• To host or distribute content that infringes third-party rights, including intellectual property and privacy rights.
• To attempt to disrupt the service or its other users.

Misuse may result in suspension or termination of your workspace, in our reasonable discretion.

8. Student payments

Where your students pay you through Chalkline, the funds flow directly into your own Paystack or Stripe account, not FlowBridge's. Those payment processors' terms govern the transactions. FlowBridge is not a party to the contract between you and your students, and is not responsible for refunds, chargebacks, or disputes between you and a student.

9. Third-party services

Chalkline integrates with third-party services including Paystack, Stripe, Google Drive, Resend, the Meta WhatsApp Cloud API, LiveKit, and others. The terms and privacy policies of those providers apply to your use of them through Chalkline. FlowBridge is not responsible for outages, errors, or actions of those providers.

10. Service availability

We aim for high uptime and reliability, but we do not guarantee uninterrupted or error-free access. Scheduled maintenance and material incidents will be communicated by email to the workspace owner where reasonable.

11. Limitation of liability

To the maximum extent permitted by law, FlowBridge's total aggregate liability arising out of or in connection with your use of Chalkline is limited to the amount of subscription and add-on fees you have paid FlowBridge in the 12 months immediately preceding the event giving rise to the claim.

FlowBridge is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of goodwill, loss of data, business interruption, or substitute service costs — even if we have been advised of the possibility of such damages.

12. Indemnity

You agree to defend, indemnify, and hold FlowBridge harmless against any third-party claims, damages, liabilities, or costs (including reasonable legal fees) arising out of your content, your conduct, your relationship with your students, or your breach of these terms.

13. Termination by us

We may suspend or terminate your workspace if you materially breach these terms, fail to pay fees, abuse the service or other users, or where required by law. Where reasonable, we will notify you and give you a chance to cure the breach before termination.

14. Termination by you

You may cancel your subscription at any time from Settings → Billing, or by emailing billing@mychalkline.com. Data retention after cancellation is governed by the Refund & cancellation policy.

15. Changes to the service or these terms

We may update Chalkline and these terms from time to time. Material changes will be communicated by email to the workspace owner at least 14 days before they take effect. Your continued use of Chalkline after the effective date constitutes acceptance of the updated terms.

16. Governing law and jurisdiction

These terms are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these terms is subject to the exclusive jurisdiction of the South African courts.

17. Entire agreement

These terms, together with the Privacy policy and the Refund & cancellation policy, form the entire agreement between you and FlowBridge regarding Chalkline, and supersede any prior agreements on the same subject.
